Signal KKR to Pay Record $250M Penalty Over Repeated Merger-Filing Violations

Private equity firm KKR agreed on August 26, 2026 to pay a $250 million civil penalty to the Department of Justice to resolve allegations of repeated violations of the Hart-Scott-Rodino (HSR) Act's premerger notification requirements. It is the largest civil penalty ever assessed for an HSR Act violation, more than 20 times any prior DOJ penalty under the law. The Justice Department alleged KKR failed to comply with disclosure requirements on at least 16 deals collectively valued at more than $24.7 billion. According to prosecutors, KKR modified documents, failed to make required filings, or systematically omitted information mandated under the HSR Act. A similar tentative settlement had been reached shortly before the 2024 presidential election but was never finalized before this agreement. KKR agreed to settle but disputed the DOJ's characterization of the case, saying the penalty would have no financial impact on the firm because it would be reimbursed by outside law firms.
